End-User License Agreement

This End-User License Agreement ("EULA") governs your use of the Coff software and applications provided by Coff LLC ("Coff", "we", "us", or "our"), including the web application at dashboard.coff.app and any related software, updates, and documentation (the "Software"). By accessing or using the Software, you agree to this EULA. If you do not agree, do not use the Software.

This EULA supplements our Terms of Service, which govern your account and subscription generally. If there is a conflict specifically about the license to use the Software, this EULA controls.

1. License grant

Subject to your compliance with this EULA and the Terms of Service, and to any active subscription, Coff grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software for your own internal business purposes during your subscription term. The Software is licensed, not sold, and Coff and its licensors retain all rights not expressly granted.

2. Software as a service

The Software is provided primarily as a hosted, cloud-based service that you access through a browser. We host and operate it on our infrastructure; you are not granted a copy of the server software to install or run yourself. We may update, patch, or modify the Software at any time to maintain, secure, or improve it, and some updates are applied automatically.

3. License restrictions

You will not, and will not permit anyone else to:

  • Copy, modify, translate, or create derivative works of the Software, except as expressly permitted.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, or algorithms of the Software, except to the extent this restriction is prohibited by applicable law.
  • Rent, lease, lend, sell, sublicense, distribute, host, or otherwise make the Software available to any third party, or use it to operate a service bureau or provide the Software’s functionality to others.
  • Remove, alter, or obscure any proprietary notices, labels, or marks in the Software.
  • Circumvent or disable any security, licensing, usage-metering, or access-control features.
  • Use the Software to build or train a competing product or service, or to benchmark it for that purpose without our written consent.
  • Access the Software to develop functionally similar software, or use automated means to scrape or extract data beyond the features we provide.

4. Your responsibilities

  • You are responsible for your account credentials and for all use of the Software under your account.
  • You must use the Software in compliance with applicable law and the acceptable-use rules in the Terms of Service.
  • You are responsible for the accuracy, quality, and legality of the data you put into the Software and for having the rights to use it.
  • You must maintain the systems and internet access needed to use the Software.

5. Ownership and intellectual property

The Software and all copies, and all intellectual-property rights in it, are and remain the exclusive property of Coff and its licensors. This EULA does not transfer any ownership. All trademarks, service marks, and logos used in connection with the Software are the property of Coff or their respective owners. Content that you submit remains yours as described in the Terms of Service.

6. Third-party and open-source components

The Software may include third-party or open-source components that are provided under their own license terms. Those terms govern your use of the applicable components and, where required, are made available on request. Nothing in this EULA limits your rights under, or grants rights that supersede, any applicable open-source license.

7. Updates and changes

We may release updates, new versions, or changes to the Software, and may add, modify, or remove features. This EULA applies to all updates unless an update is accompanied by a separate license, in which case that license governs. Continued use of the Software after an update means you accept it.

8. Term and termination

This EULA is effective until terminated. It terminates automatically if you breach it or when your subscription or right to use the Software ends. On termination, you must stop all use of the Software. Provisions relating to restrictions, ownership, disclaimers, and limitation of liability survive termination. Termination of this EULA does not by itself terminate your Coff account, which is governed by the Terms of Service.

9. Disclaimer of warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. COFF DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. AI-GENERATED OUTPUT MAY BE INACCURATE AND IS NOT A SUBSTITUTE FOR PROFESSIONAL JUDGMENT.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COFF WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SOFTWARE. COFF’S TOTAL LIABILITY UNDER THIS EULA IS SUBJECT TO THE SAME AGGREGATE CAP STATED IN THE TERMS OF SERVICE.

11. U.S. government and export

Government end users

If you are a U.S. government end user, the Software is a "commercial product" and is provided with only those rights granted to all other users under this EULA, consistent with FAR 12.212 and DFARS 227.7202.

Export compliance

You must comply with all applicable export-control and sanctions laws. You represent that you are not located in an embargoed country or on any restricted-party list, and you will not use or export the Software in violation of those laws.

12. Governing law

This EULA is governed by the laws of the State of Washington, United States, without regard to its conflict-of-laws rules, and the dispute-resolution provisions of the Terms of Service apply to it. If any provision of this EULA is found unenforceable, the remaining provisions remain in effect.
